LEGAL NOTICE

Pursuant to Tenn. Code Ann. §?48-64-108, PRIESTER AND ASSOCIATES, INC., a Tennessee for-profit corporation domiciled in Shelby County, Tennessee, has elected to give notice to creditors and the general public by means of this announcement, which will be published in the Memphis Daily News one (1) time, of its intention to dissolve and liquidate in accordance with the provisions of Section 48-24-107 of the Tennessee Business Corporation Act.

Priester and Associates, Inc. hereby calls upon all potential creditors to present in writing their claims for payment against said company at the following address: Priester and Associates, Inc., c/o Jerry M. Priester, 30 S. Byhalia Road, Collierville, Tennessee 38017. Any claim against Priester and Associates, Inc. will be barred unless a proceeding to enforce the claim is commenced within two (2) years after the publication of this notice.
